In addition, by completing any of our forms, you certify that the information provided to Elite Auto Loans, financial institutions, participating auto dealerships, etc. is true and complete. By taking part in any of our service offerings, you agree that you are giving Elite Auto Loans, financial institutions, participating auto dealerships, etc. full access and authorization to your information so that we can service your vehicle financing request. In addition, by using the Web site, you agree that you are at least eighteen (18) years of age and bound by all of the following provisions of these Terms of Service and our Privacy Policy. In the process of trying to provide you with a quality auto loan, you acknowledge that the information you provide may be disclosed to third parties or affiliates as described below and in our Privacy Policy.

Elite Auto Loans: Research Services
Elite Auto Loans has created this Web site to provide people with good or bad credit the opportunity to obtain auto loan financing. Given the nature of the site, research is conducted on behalf of the client to determine the type of loan that he/she may qualify for. Provided this information, any and all clients of Elite Auto Loans agree that we are not (i) guaranteeing or ensuring approval for vehicle financing, (ii) guaranteeing or ensuring any vehicle or transaction between a buyer and a dealership/seller, (ii) collecting or processing payment of any vehicle, (iii) transfering the title of any vehicle on behalf of a buyer or seller, (iv) warehousing, storing, shipping, or delivering any vehicle(s).

Prohibited Activities
The following activties include, but are not limited to activities that are prohibited on Elite Auto Loans’ Web site: (a) engaging in activity that involves the transmission of "junk mail" or "spam"; (b) engaging in activity, submitting, or promoting information that is fraudulent, false, or misleading; (c) promoting or conducting illegal activities or behavior that may be construed as abusive, threatening, obscene, defamatory, or libelous; (d) submitting material or content that displays pornographic or sexually explicit material of any kind; (e) submitting material/content that provides instructional information about illegal activities, violating someone's privacy, or providing or creating computer viruses; (f) engaging in activities or submitting materials that solicit passwords or personally identifiable information for unlawful purposes from other Web site users; (g) using any robot, spider, or other automatic device or a manual process, to monitor or copy web pages, content contained within our Web site, or for any other unauthorized purpose without our prior expressed written permission; (h) using any device, software, or routine to interfere or attempt to interfere with the proper working our Web site or any of our partners or affiliates; (i) decompiling, reverse engineering, disassembling or otherwise attempting to obtain the source code for the Software; or (j) taking any action that imposes an unreasonable or disproportionately large load on Elite Auto Loans’ hardware and/or software infrastructure.

Elite Auto Loans, participating dealership networks and/or financial institutions, and any of their affiliates, employees, agents, contractors, and third-party licensors shall not be liable for any damages or losses including, but not limited to, direct, indirect, consequential, special, incidental or punitive damages, resulting from or caused by this Web site, software, content/material, Terms of Service, Privacy Policy, etc. (including, but not limited to, damagaes resulting from negligence). Some states do not allow the exclusion or limitation of incidental or consequential damages of implied warranties, so the above exclusion or limitation may not apply to you.

Indemnification
Client agrees to indemnify and hold harmless Elite Auto Loans., financial institutions, participating dealership networks, and any third parties from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or relating to any breach of client that foregoes representations and warranties, or otherwise arising out of or relating to the content, nature of the content, or other information provided on our Web site; the quality, proximity, or denial of auto loan financing, or any vehicle that is or is going to be purchased by the client using any of our services. In the event that Elite Auto Loans has any legal action brought against them as the result of activities of the client that violate any law, the Privacy Policy, or the Terms of Service, the client agrees to pay any and all damages awarded against Elite Auto Loans plus costs and reasonable attorney’s fees.

Termination of Service
Elite Auto Loans reserves the right to refuse, cancel, suspend, or terminate any services at any time and for any reason, without prior notice. Termination may occur if it is believed that your use of the site and/or information you provide violate these Terms of Service; the rights of Elite Auto Loans, participating dealership networks, or financial institutions, or another user of this site; any law or regulation, or are otherwise objectionable or inappropriate. Or, if it is believed that you are presenting or conducting illegal/fraudulent activities. This may include, but is not limited to, refusing to perform anything related to the vehicle financing process, denying the potential client of auto financing if it is believed that the information presented is fraudulent, etc. You agree that if for some reason it is proven that you have violated our Terms of Service or Privacy Policy that monetary damages may be required to remedy the situation to Elite Auto Loans, financial institutions, participating dealerships, and/or other users of this Web site. If you are terminated, Elite Auto Loans is not required to refund client for any time, or money that was spent in relation to this process, as it is at Elite Auto Loans discretion that you have violated these Terms of Service, Privacy Policy, etc.

Warranty Disclaimer
In reference to vehicles that can be purchased with the auto loan financing made available through our financial institutions or participating dealer network, no representations or warranties, expressed or implied, as to the condition or ownership of the vehicle or the quality of the information provided by our clients’ other than what can be reasonably verified. All concerns regarding the vehicle must be addressed to the seller of the vehicle prior to the sale of the vehicle. This disclaimer may not apply to you if you are in a state that does not allow the disclaimer of implied warranties.

Miscellaneous
Elite Auto Loans reserves the right to change the Terms of Service at their sole discretion. Changes to the Terms of Service will be made and posted on our Web site. Your continued use of our Web site and/or services after the amended Terms of Service have been posted indicates your agreement and legal binding to any changes.

Elite Auto Loans may modify, suspend, discontinue, and/or restrict the use of any portion of this Web site without notice or liability. You further agree that any cause of action you may have with respect to our services or Web site must be filed in the federal or state courts located in Cuyahoga County, Ohio, within one year after the cause of action arises or the cause is barred, and that all causes of action will be resolved individually, without resort to any form of class action lawsuit. If any portion of these Terms of Service are found to be uneforceable by a court of competent jurisdiction, that portion of the Terms of Service will be enforced to the maximum extent permissable, and the remainder of the Terms of Service will continue in full force and effect. In no way, should the use of Elite Auto Loans services be construed as a partnership, joint venture, affiliate, agency relationship, or franchise between Elite Auto Loans and any client.
